This website (the "Site") is operated by Skjoldr AS, organisation number 924 911 859, registered at Høyjordveien 317, 3158 Andebu, Norway ("Skjoldr", "we", "us" or "our").
This Legal policy sets out the terms on which you may access and use the Site and any content, materials and functionality made available on or through it. By accessing or using the Site, you confirm that you accept this Legal policy. If you do not agree, you must not use the Site.

This Legal policy applies to the fullest extent permitted by applicable mandatory law.

Use of the Site is also subject to our Privacy Policy and any other notices or policies made available on the Site.

For the purposes of this Legal policy, "Content" means all text, graphics, photographs, video, audio, software, code, layout, design, trademarks, logos, product information, technical specifications, downloadable materials, databases and other content made available on or through the Site.

1. Purpose and Scope

This Legal policy governs:

  • the ownership and protection of intellectual property rights relating to the Site and Content; and

  • use any illustrations, photographs, video, audio or graphics separately from accompanying text or context;

  • frame, mirror or deep-link the Site, or present the Site or Content in a way that suggests affiliation, endorsement or association with Skjoldr;

  • use the Site or Content in any unlawful, misleading, defamatory, abusive, harmful or otherwise objectionable manner;

  • interfere with, disrupt or attempt to gain unauthorised access to the Site, its servers or any connected systems; or

  • use the Site or Content in any way that infringes or misappropriates Skjoldr’s rights or the rights of any third party.

If you breach this Legal policy, your right to use the Site will cease immediately and, at our option, you must return, delete or destroy any unauthorised copies of material obtained from the Site. Skjoldr reserves all rights and remedies available under applicable law.

4. Access to the Site and Changes

You are responsible for making all arrangements necessary for access to the Site.

Access to the Site is provided on a temporary and revocable basis. Skjoldr may suspend, withdraw, restrict or discontinue all or any part of the Site at any time and without notice. We do not guarantee that the Site, or any Content on it, will always be available or uninterrupted.

Skjoldr may amend the Site and any Content made available on it from time to time. Although we may update the Site regularly, we are under no obligation to do so, and any Content may be out of date at any given time.

5. Ownership and Intellectual Property Rights

Unless otherwise expressly stated, Skjoldr or its licensors own or lawfully control all rights, title and interest in and to:

  • the Site;

  • the Content;

  • the selection, coordination, arrangement and structure of the Content; and

  • all intellectual property rights subsisting in or relating to the foregoing.

This includes, without limitation, copyrights, neighbouring rights, trademarks, trade names, logos, domain names, design rights, database rights, sui generis database rights, know-how and other registered or unregistered rights in any jurisdiction.

No right, title, licence or other interest in any intellectual property is transferred to you except for the limited right to use the Site in accordance with this Legal policy.

Skjoldr’s status, and that of any identified contributors, as authors of Content on the Site must always be acknowledged.

6. No Scraping, Crawling, Automated Access or Text and Data Mining

To protect Skjoldr’s intellectual property, database rights, confidential business interests, technical infrastructure and investment in the Site and Content, you must not, without Skjoldr’s prior written consent:

  • use any robot, spider, crawler, scraper, bot, harvester, browser automation tool, data mining tool, extraction tool or any other automated means to access the Site or Content;

  • scrape, harvest, collect, extract, copy, download, index, cache, mirror or store any Content, metadata, source code, product information, technical specifications, images, video, layout, design elements or other material from the Site;

  • monitor, benchmark or analyse the Site or Content by automated means;

  • use the Site or Content for the purpose of building, training, fine-tuning, validating or operating any artificial intelligence system, machine learning model, large language model, search engine, recommendation engine, database, archive or similar technology;

  • carry out text and data mining, including for research, commercial or model-development purposes, except where and to the extent Skjoldr has expressly authorised such use in writing;

  • circumvent or attempt to circumvent any robots.txt file, technical restriction, access control, rate limit, authentication measure, bot protection or other protective mechanism used on the Site; or

  • enable, assist or permit any third party to do any of the above.

For the avoidance of doubt, and to the extent permitted under applicable law, Skjoldr expressly reserves all rights in relation to text and data mining and analogous automated analysis, including under any applicable implementation of Directive (EU) 2019/790 or equivalent legislation in the EEA.

7. Search Engines, Indexing and Caching

Unless Skjoldr expressly agrees otherwise in writing, the Site and Content may not be indexed, cached, archived or otherwise processed by search engines, AI discovery services or similar third-party services for the purpose of reproducing, making available, redistributing or exploiting the Content beyond ordinary transient technical display strictly necessary for lawful browsing.

Skjoldr may use robots instructions, metadata, headers or other machine-readable means to communicate access restrictions. You must comply with all such restrictions.

Nothing in this Legal policy obliges Skjoldr to permit indexing, caching or archiving by any search engine, aggregator or third-party discovery service.

8. Copyright, Trademarks and Database Rights

All Content on the Site is protected by copyright law, neighbouring rights legislation, database rights and applicable international treaty provisions.

Except as expressly permitted in this Legal policy or by mandatory law, no part of the Site or Content may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, stored, adapted or otherwise used in any form or by any means without Skjoldr’s prior written permission.

Skjoldr, the Skjoldr name, logos, product names, slogans and other marks used on the Site are trademarks, trade names or unregistered rights belonging to Skjoldr or its licensors, unless otherwise stated.

You may not use, reproduce, register, apply for registration of, or otherwise exploit any such marks, names, logos or brand assets without Skjoldr’s prior written consent.

Nothing on the Site shall be interpreted as granting any licence or right to use any trademark, logo or brand asset displayed on the Site.

To the extent applicable, Skjoldr reserves all rights in any database or compilation made available through the Site, including any sui generis database rights.

You must not extract or reutilise all or a substantial part of the contents of any database on the Site, nor systematically extract or reutilise insubstantial parts of such contents.

9. Third-Party Links and Materials

The Site may contain links to third-party websites or services. Such links are provided for convenience only. Skjoldr has no control over, and is not responsible for, the content, availability, accuracy or privacy practices of third-party websites or services.

Inclusion of a link does not imply approval, endorsement or association.

Certain content, trademarks, images, names or materials on the Site may belong to third parties and may be used by Skjoldr under licence, permission or other lawful basis. Such materials remain the property of their respective owners.

Nothing in this Legal policy grants any right to use third-party materials except to the extent expressly stated by the relevant rights holder.

10. User Submissions

If you submit an enquiry, message, feedback or other material to Skjoldr through the Site, you represent that you are entitled to provide it and that it does not infringe any third-party rights or violate any applicable law.

Unless otherwise expressly agreed in writing, any ideas, suggestions or feedback you provide regarding the Site may be used by Skjoldr on a non-confidential basis for the purpose of operating, developing and improving the Site, subject always to applicable data protection law.

11. Monitoring and Enforcement

Skjoldr reserves the right, without notice and to the extent permitted by law, to:

  • suspend, restrict or terminate access to the Site;

  • block IP addresses, networks, devices or user agents;

  • require the immediate return, deletion or destruction of unauthorised copies of the Content;

  • issue cease-and-desist demands or similar notices; and

  • pursue any legal or equitable remedy available under applicable law.

If you breach this Legal policy, any permission granted to you under it will cease immediately.

To the fullest extent permitted by applicable law, Skjoldr makes no representation or warranty of any kind, whether express or implied, regarding the Site or its Content, including as to accuracy, completeness, reliability, availability, fitness for a particular purpose, merchantability, non-infringement or timeliness.

Your use of the Site is at your own risk.

To the fullest extent permitted by law, Skjoldr excludes liability for any loss or damage arising out of or in connection with access to, use of, inability to use, or reliance on the Site or its Content, including any direct, indirect, incidental, consequential or special loss or damage, and including loss of profits, revenue, data, business, opportunity, goodwill or reputation.

Nothing in this Legal policy excludes or limits liability where such exclusion or limitation is not permitted by mandatory law.

13. No Waiver

Failure by Skjoldr to enforce any provision of this Legal policy shall not constitute a waiver of that provision or of any other right.

14. Changes to This Legal Policy

Skjoldr may amend this Legal policy from time to time. Any updated version will be made available on the Site with a revised effective date or last updated date. Continued use of the Site after an update takes effect constitutes acceptance of the updated version.

Where changes are material and may significantly affect your rights, Skjoldr may provide a separate notice on the Site.

15. Governing Law and Jurisdiction

This Legal policy shall be governed by and construed in accordance with the laws of Norway.

Any dispute arising out of or in connection with this Legal policy or your use of the Site shall be subject to the exclusive jurisdiction of the courts of Norway, unless otherwise required by applicable mandatory law. Skjoldr nevertheless reserves the right to bring proceedings for breach of this Legal policy in your country of residence or any other relevant jurisdiction.
